Comparing Business Structures in Singapore

Liability is not the same across structures

The LLP and company columns identify separate legal personality. By contrast, a sole proprietor, ordinary partnership and limited partnership are not separate legal entities. A limited partnership combines an unlimited-liability general partner with a limited partner; LLP protection does not remove responsibility for a partner's own wrongful conduct. These distinctions affect personal exposure as well as who can hold property or bring proceedings.
