Key points
Share capital records the committed amount; paid-up capital is what has actually been paid. ACRA states at least S$1 is needed where the company type requires share capital. Ordinary and preference shares can carry different voting, dividend and capital-return rights, so the selected class should match the intended investor arrangement.
Planning your next steps
The guidance also addresses redemption, conversion, treasury shares and nominee shareholders. A nominee must disclose the nominee relationship and nominator details at incorporation. For preparation, distinguish the number of shares, issue amount, amount paid and class rights in the records. A low statutory starting amount is not itself a funding plan for the company's operating costs or obligations.
