Constitutions and participant rights
Companies need not amend their constitutions simply to use the enabling provisions for virtual or hybrid meetings. They may still choose physical meetings, and may amend their constitutions from 1 July 2023 to prohibit virtual formats. Regulatory requirements, including those for listed companies, remain relevant. Default rules adapt attendance, speaking and voting rights to technology-enabled participation.
