For unlisted-company shares, the circular states that duty is based on consideration or net asset value, whichever is higher. It removed the mandatory substitution of property market values for balance-sheet values when calculating net asset value for stamping. Transferees could choose balance-sheet property values and use simplified Worksheet C, replacing Worksheets A and B. IRAS nevertheless retained back-end audit checks, particularly for non-arm’s-length cases, to ensure duty reflected the true share value. The second change concerns assets distributed in specie to shareholders on liquidation. Transfers of immovable property or shares moved from fixed duty to ad valorem duty calculated on the value of assets acquired, similar to ordinary acquisitions. The effective date is tied to the transfer instrument, not merely the date a company began liquidation. Distinguish a share transfer from an underlying property distribution and do not assume liquidation itself exempts acquisition duty. This historical circular explains the origin of those administrative and duty changes; check current valuation guidance and any applicable relief for a present transaction rather than treating the archived worksheet references as a complete current filing procedure.
