SPV and controlling fund facts

The 1 July 2026 case concerns a Singapore-incorporated SPV wholly owned by HoldCo, holding its sole foreign equity investment and having no employees. HoldCo invests and supplies management, administrative and related services to subsidiaries/related parties. It received a fund tax incentive and met compliance/qualifying criteria in the preceding year. It effectively controls the SPV, benefits economically from its holding activities and sets core investment strategies.

HoldCo-level substance and five-year condition

IRAS applies substance at HoldCo level, finding the SPV meets paragraph (b) of the section 10L(16) excluded-entity definition. Under 10L(8)(d), foreign disposal gains received in Singapore are not chargeable under 10(1)(g) pursuant to 10L(1), for YA Y through Y+4 basis periods. This is expressly conditional on HoldCo meeting all incentive criteria and compliance in each relevant period, not merely the preceding year. Y is undisclosed.
