Assets and their original purpose
Company A was incorporated in Singapore and had carried on a trade before becoming an investment holding company in an anonymised year X. Its assets were leasehold land, an office building, motor vehicles, furniture, fixtures and office equipment. They had been acquired or constructed for the earlier trade, rather than acquired for the contemplated resale.
Holding period and restructuring
The fixed assets were held for a long period; the land and office building had been held for over ten years. After the business conversion they were sublet to generate passive rental income. A proposed intragroup restructuring would transfer them to newly incorporated Singapore NewCo at a gain. Company A would settle outstanding liabilities and then be liquidated.
Four factors considered by IRAS
IRAS weighed the intention at acquisition, how long the assets were held, the frequency of similar transactions, and the circumstances of realisation. The ruling does not turn the ten-year holding period or an intragroup transfer into an automatic exemption rule. The combined factual history supported capital rather than trading character.
Decision and legislative scope
Under section 10(1) of the Income Tax Act 1947, 2020 Revised Edition, the transfer was a capital transaction and the resulting gain was not taxable under the provisions considered. The published question and answer concern income tax on that gain; they do not separately grant relief from stamp duty or decide other transactional taxes.
