Share valuation
Listed shares use the document-date average exchange price, or latest available average. Private companies older than 18 months use NAV from accounts dated within 24 months before transfer. Property book values must be replaced by document-date market values where they are not reflective. Different share classes require allocation according to their rights, not a simple equal division across every issued share.
Young companies and acquisition forms
A company up to 18 months old with no property uses the transferred shares’ allotment price. If it owns property, prepare certified management accounts to establish NAV. Gifts, in-specie dividends or liquidation distributions and trust changes can also be dutiable. Round tax down to a whole dollar, minimum S$1; a trust declaration without beneficial-ownership change retains S$10 fixed duty.
