Meet both ownership tests

The system applies to Singapore-incorporated companies in the same qualifying group, with the required 75% ordinary-shareholding relationship maintained over the relevant continuous period and the same accounting year-end. The test also examines entitlement to residual profits and assets, including the effect of non-commercial profit-participating loans. Counting issued shares alone is insufficient. Direct and indirect ownership must be calculated rather than assuming every subsidiary belongs to the qualifying group.

Transfer only eligible loss items

Group relief transfers current-year unabsorbed capital allowances, trade losses and approved donations to a qualifying claimant’s assessable income. It does not generally transfer the entire balance of historical losses. The guide explains transferor and claimant forms and the distinction between accounting profits and assessable income.
