Asset Transfers Between Associated Permitted Entities

Section 15 relief requires prescribed association, commercial purpose and continuing retention; it is not a blanket group-transfer exemption.

Association and transaction tests

Permitted entities include companies, qualifying entity-owned LLPs, statutory bodies and registered business trusts. Association requires at least 75% voting capital and more than 50% voting power, directly or indirectly. The same association normally must exist for 12 months before transfer; a newly incorporated acquisition entity has a limited exception. Transfer all the transferor’s interest for a bona fide commercial reason, using market value unless wholly associated. VCC transfers and ACD-chargeable PHE transfers are excluded.

Claim and retention

Claim within 14 days of Singapore execution or 30 days of overseas execution; the latter relief deadline is not the usual receipt-based payment deadline. Complete legal transfer within 12 months, remain associated and retain assets for two years subject to narrow exceptions. Breach must be reported within 30 days and can trigger duty plus 6% annual interest. Apply through Section 15 Relief with supporting group and valuation records; adjudication fees apply regardless of approval.
