Document Execution Without a Common Seal

The note explains authorised signature combinations for companies and LLPs following the March 2017 change. Removing compulsory use of a seal does not remove execution formalities: the required officers or witness still depend on the relevant route.

Signing combinations and constitutional provisions

For a company, the note lists two directors, a director with the secretary, or one director whose signature is witnessed. For an LLP, it lists two partners or one partner with a witness. It also explains that an existing constitution can be amended and that a new company adopting the model should address seal provisions if it chooses not to have a seal.
