Participating and management shares
Published 2 May 2023, the Singapore-resident manager A manages two SPV funds established over ten years earlier. Investor Participating Shares receive declared dividends but no general-meeting votes. Management Shares carry votes to enable fund management but no dividend entitlement. Initially A’s wholly owned B holds the management shares, while A manages through B’s control. In symbolic Year X streamlining transfers those shares to A for nominal consideration solely so the group can manage the funds.
Proposed transfer and capital reasoning
A proposes to sell the management shares to Z as part of transferring fund management, expecting a gain. It sees operational benefit in harmonising administration of its full client product suite under Z. A neither buys/sells investments as a profit-making business nor has previously disposed of going-concern fund entities. IRAS assesses acquisition intention, the shares’ management nature, frequency of similar transactions and sale circumstances, and classifies the sale of management through these shares as capital/non-taxable under section 10(1).
