Two distinct constitutional templates
The First Schedule supplies the private-company-limited-by-shares model; the Second supplies the guarantee-company model. The share-company opening clauses identify the company name, Singapore registered office, limited member liability and share capital, followed by subscriber commitments. Definitions then connect the model to the Companies Act and the Registrar's electronic register of members.
